Unlisted shares — FAQs
What are unlisted shares?
Shares of companies that are not listed on NSE or BSE — for example companies that have not done an IPO yet. They are bought and sold privately (off-market) through specialised platforms or brokers, and credited to your normal demat account.
How do I buy unlisted shares?
Pick a platform from the “Where to buy” list on the company page, compare its price, pay the platform, and the shares are transferred to your demat account (usually within 1–3 working days) by an off-market transfer. Always check the ISIN and the platform's terms before paying.
How do I sell unlisted shares?
Ask a platform for its buy-back (sell) quote, transfer the shares from your demat account using a delivery instruction slip (DIS / CDSL Easiest / NSDL Speed-e) and receive the money. Selling can take time because there is no exchange order book.
Are unlisted share prices official?
No. Prices are set by buyers and sellers on each platform and can differ a lot between platforms. IPOPulse shows indicative prices with the date they were checked.
Is there a lock-in after the IPO?
Yes — pre-IPO shares held by non-promoter investors are generally locked in for 6 months from the IPO allotment date, so you cannot sell them on the exchange immediately after listing.
How are unlisted shares taxed?
Gains on unlisted shares held for more than 24 months are long-term capital gains (12.5% without indexation from 23 July 2024); held for 24 months or less they are short-term and taxed at your slab rate. Check with a tax adviser.
